1. Acceptance of Terms

By accessing or using Prism ("the Service"), operated by Flowstack Inc. ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Service.

We reserve the right to modify these terms at any time. Your continued use of the Service following any changes constitutes acceptance of the new terms.

2. Description of Service

Prism is an AI-powered data analysis platform that allows users to:

• Upload and store datasets
• Query data using natural language
• Generate visualizations and insights
• Export analysis results
• Collaborate with team members (on applicable plans)

3. Account Registration

To use certain features, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your password
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

You must be at least 16 years old to create an account.

4. Subscription and Payments

4.1 Free Tier

We offer a free tier with limited features and usage. Free tier limitations are subject to change at our discretion.

4.2 Paid Subscriptions

Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as explicitly stated in these terms.

4.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until that time.

4.4 Price Changes

We may change prices with 30 days' notice. Price changes take effect at the start of your next billing period.

5. Your Data

5.1 Ownership

You retain all rights to the data you upload to Prism. We do not claim ownership of your data.

5.2 License Grant

By uploading data, you grant us a limited license to process, store, and analyze your data solely for the purpose of providing the Service to you.

5.3 Data Usage

We do NOT:

• Use your data to train AI models
• Share your data with third parties (except as required for service provision)
• Access your data unless necessary for support or legal compliance
• Sell your data under any circumstances

5.4 Data Deletion

You may delete your data at any time. Upon account deletion, we will remove your data within 30 days, except as required by law.

6. Acceptable Use

You agree NOT to:

• Upload illegal, harmful, or offensive content
• Upload data you don't have rights to use
• Attempt to gain unauthorized access to our systems
• Use the Service to harm others or for any illegal purpose
• Reverse engineer or attempt to extract our source code
• Resell or redistribute the Service without authorization
• Exceed usage limits or circumvent restrictions
• Upload malware or malicious code

Violation of these terms may result in immediate account termination.

7. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Flowstack Inc. and is protected by copyright, trademark, and other intellectual property laws.

"Prism" and the Prism logo are trademarks of Flowstack Inc. You may not use our trademarks without prior written permission.

8. AI-Generated Content

Prism uses artificial intelligence to generate analysis, insights, and visualizations. You understand that:

• AI-generated content may contain errors or inaccuracies
• You are responsible for verifying important findings
• AI outputs should not be relied upon as the sole basis for critical decisions
• We are not liable for decisions made based on AI-generated content

9. Service Availability

We strive to provide reliable service but do not guarantee uninterrupted access. We may:

• Perform maintenance with reasonable notice when possible
• Modify or discontinue features at our discretion
• Limit or suspend service for excessive usage or abuse

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be error-free, secure, or uninterrupted, or that defects will be corrected.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLOWSTACK INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Flowstack Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service or violation of these terms.

13. Termination

We may terminate or suspend your account immediately, without prior notice, for any reason, including:

• Violation of these terms
• Fraudulent or illegal activity
• Non-payment of fees
• At your request

Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will survive.

14. Governing Law

These terms shall be governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Delaware.

15. Changes to Terms

We reserve the right to modify these terms at any time. We will provide notice of material changes by posting the updated terms and changing the "Last updated" date. Your continued use after changes constitutes acceptance.
